ARTICLE 1 – Scope of Application

These General Terms and Conditions of Sale (GTCS) govern the commercial activity of GREEN FILTER EUROPE SASU and constitute the sole framework of the commercial relationship between the seller and its professional buyers, in accordance with Article L441-6 of the French Commercial Code.

The GTCS define the conditions under which the seller provides the following products:
– All products offered by the seller.

They apply without reservation to all sales concluded between the seller and buyers, regardless of any terms contained in the buyers’ purchase conditions.
Any order implies full acceptance of these GTCS.
The seller’s failure to invoke any clause cannot be interpreted as a waiver.
The seller may agree with a buyer on specific sales conditions deviating from the GTCS.
These GTCS are valid indefinitely until modified by the seller.

ARTICLE 2 – Orders

2.1 Order Procedures

The client, being a professional in the automotive sector, is presumed to have knowledge regarding the intended use of the products.
Orders can be placed via email and must be confirmed in writing with a signed purchase order.

2.2 Minimum Order and Modifications

No minimum order is required.
Modifications must be submitted in writing before shipment and expressly accepted by the seller.

ARTICLE 3 – Prices

3.1 Price Details

Products and services are provided at the prices in effect on the day the order is placed or in a specific commercial proposal.
Prices are firm during their validity period. VAT applies at the rate in effect on the order date.
Taxes or duties applicable in France or abroad are the buyer’s responsibility.
Prices exclude shipping

3.2 Discounts

No discount is offered for early payment.

ARTICLE 4 – Discounts and Rebates

The seller does not grant any discount or rebate, regardless of order quantity or frequency.

ARTICLE 5 – Payment Terms

5.1 Payment Conditions

Payment can be made by any agreed method.

5.2 Late Payment Penalties

Late payment may result in suspension of orders.
Penalties: ECB rate +10 points, plus a fixed recovery fee of €40.
Additional costs may be charged if recovery expenses exceed this amount.

ARTICLE 6 – Order Cancellation

The buyer may cancel within 2 days of acceptance. Cancellation is impossible after delivery.

ARTICLE 7 – Delivery

Products are delivered within 2 to 8 days from the purchase order receipt.
Seller is not liable for delays under 30 days.
Delays over 30 days allow the buyer to request cancellation and refund of deposits.
Force majeure includes:
Bad weather, natural disasters, fire, strikes, legal restrictions, transport failures, social conflicts, pandemics, or other circumstances beyond the seller’s control.

ARTICLE 8 – Returns

All returns must be pre-approved by the seller. Costs and risks are borne by the buyer.
No returns after 6 months. Products must be in original condition.
Approved returns result in credit or exchange valid for 2 months after issuance.

ARTICLE 9 – Specific Products

ARTICLE 10 – Packaging

Packaging bearing the seller’s brand may only be used for the seller’s products.

ARTICLE 11 – Transfer of Ownership and Risk

Ownership and risk transfer upon delivery. Seller retains ownership until products are delivered and bears transport risks.

ARTICLE 12 – Warranty and Limitation of Liability

12.1 Warranty:

Buyers benefit from legal guarantees against eviction and hidden defects.
Products are guaranteed for 6 months.
Warranty claim:
– written notice within 2 months;
– product return at buyer’s expense.

Seller may repair or replace defective products. No compensation for downtime.
Warranty excludes apparent defects, normal wear, improper use, or force majeure.

12.2 Limitation:

Seller’s liability only in case of gross or intentional fault, limited to product value. Buyers indemnify seller against third-party claims.

ARTICLE 13 – Confidentiality and Personal Data

Personal data collected solely for order execution, in accordance with GDPR.
Seller will protect data, not share with unauthorized parties, and allow access, correction, or deletion.

ARTICLE 14 – Applicable Law – Disputes – Complaints – Mediation

This contract is governed by French law. Disputes are subject to competent French courts, notably Beauvais.
Complaints: contact customer service.
Amicable resolution must be initiated within 3 months.
Clients may use conventional mediation or alternative dispute resolution.
According to EU Regulation 44/2001, unresolved disputes go to the Beauvais Commercial Court.

ARTICLE 15 – Contract Validity and Entirety

If any clause is deemed null or unenforceable, the remaining clauses remain valid and enforceable.
